Terms of Service

These Terms of Service, together with the End User License Agreement in Section 3 (collectively, the "Terms"), are a binding agreement between you (and the organization you represent) and GROSSMARGIN LLC ("Grossmargin," "we," "us," or "our"). They govern your use of:

• grossmargin.io — our marketing site, newsletter, contact forms, and free tools; and
• Grossmargin Connect (connect.grossmargin.io) — our application that connects your accounting and business systems to AI agents (together with grossmargin.io, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

1. The Services

Grossmargin Connect lets you connect third-party systems — including Intuit QuickBooks Online — and expose authorized data and actions to AI agents that you connect. When you direct a connected agent to read from or act on a connected system, Grossmargin Connect fetches the relevant data live and passes it to that agent on your behalf. You are responsible for the agents you connect and the instructions you give them.

2. Eligibility and accounts

You must be at least 16 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account and for all activity under it. You agree to provide accurate information and to keep it current.

3. License grant (End User License Agreement)

Subject to your compliance with these Terms, Grossmargin grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes. This Section 3 constitutes the End User License Agreement for the Services.

You may not: (a) copy, modify, distribute, sell, or lease any part of the Services; (b) reverse engineer or attempt to extract source code, except to the extent this restriction is prohibited by law; (c) use the Services to violate any law or third-party right; (d) access the Services to build a competing product; (e) interfere with or disrupt the integrity or performance of the Services; or (f) attempt to gain unauthorized access to the Services or related systems.

4. Your data and third-party systems

You are responsible for the data in the systems you connect and for having the rights and authorizations necessary to connect them and to grant Grossmargin Connect and your AI agents access. Your use of third-party systems (including QuickBooks Online) remains subject to those providers' own terms. Our handling of your information is described in our Privacy Policy, which is incorporated into these Terms by reference.

5. Acceptable use

You agree not to use the Services to transmit unlawful, infringing, or harmful content, to gain unauthorized access to any account or system, or to expose data you are not authorized to access. We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe may harm the Services, other users, or third parties.

6. Intellectual property

The Services, including all software, text, and design, are owned by Grossmargin or its licensors and are protected by intellectual property laws. Except for the license in Section 3, these Terms grant you no rights in the Services. Feedback you provide may be used by us without obligation to you.

7. Third-party services

The Services integrate with third-party services (such as Intuit QuickBooks Online, Nango, Google, and AI providers). We do not control and are not responsible for third-party services, and your use of them is governed by their terms and policies.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any data provided through them (including outputs produced by AI agents) will be accurate or complete. The Services are not a substitute for professional accounting, tax, legal, or financial advice.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROSSMARGIN AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

10. Indemnification

You agree to indemnify and hold harmless Grossmargin and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your data, or your violation of these Terms or any law or third-party right.

11. Termination

You may stop using the Services at any time and disconnect any connected system. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services. Upon termination, the license in Section 3 ends and connected systems should be disconnected. Sections that by their nature should survive termination (including Sections 6, 8, 9, 10, and 12) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and Grossmargin agree to the exclusive jurisdiction of the state and federal courts located in New York for any dispute not subject to another agreed dispute-resolution mechanism.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
